Terms of Service
1. Agreement
These Terms of Service ("Terms") govern access to and use of the Services provided by Pamphlet Inc. ("Pamphlet," "we," "us," or "our") at pamphlet.io and related domains. By creating an account, accessing a Pam Pod, using the API, or otherwise using the Services, you agree to these Terms and the policies incorporated by reference, including the Privacy Policy, Acceptable Use Policy, and applicable product-specific policies listed at /legal.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. "You" and "Customer" refer to that organization or individual, as applicable.
2. Services
Pamphlet provides a standalone revenue operations platform that includes Pamphlet CRM, Pam AI, Pam Agent, Pam OS, Pods, Campaigns, Inboxes, chatbot tracking, APIs, and MCP integrations. Features, limits, and availability vary by plan, configuration, and Order Form.
Pamphlet may modify the Services from time to time. Material adverse changes to paid features will be communicated through the product, email, or status page where practicable. Beta or preview features may be labeled as such and are provided without the service commitments described in the Service Level Agreement unless expressly agreed in writing.
3. Accounts and access
Customers must provide accurate registration information and maintain the security of credentials. Authentication is provided through Clerk and organization membership controls. Customers are responsible for all activity under their accounts and for configuring roles, permissions, and approval gates for Authorized Users.
Pamphlet may suspend or terminate access for violations of these Terms, the Acceptable Use Policy, non-payment, or risk to the platform. Customers must promptly notify cs@pamphlet.io of unauthorized access.
4. Customer responsibilities
Customers control Customer Content in their Pam Pods, including CRM records, messaging content, campaign configuration, and agent policies. Customers are solely responsible for:
- Obtaining lawful bases, consent, or permissions for outreach and data processing
- Configuring Pam AI and Pam Agent approval gates and sending policy
- Compliance with applicable laws governing email, messaging, privacy, employment, and industry-specific regulation
- Accuracy of data imported through connectors, CSV, or API
- Actions taken by Authorized Users and automated systems configured in the Pam Pod
Pamphlet does not provide legal advice. Customers should consult qualified counsel for compliance questions.
5. Fees, billing, and taxes
Pamphlet does not publish list pricing on the marketing site. Paid subscriptions are offered through demo-reviewed packaging, executed Order Forms, or organization billing settings managed through Clerk Billing and Stripe where enabled.
Subscriptions renew automatically for the selected billing period unless canceled through the organization billing interface before the renewal date or as specified in an Order Form. Customers may cancel at any time; cancellation stops future renewal charges and access continues through the end of the current paid period unless otherwise stated at checkout.
Customers authorize Pamphlet and its payment processors to charge applicable fees, taxes, and overages. Fees are non-refundable for partial billing periods except where required by law or expressly stated in an Order Form. Chargebacks and payment disputes may result in account suspension pending resolution.
Pamphlet may change prices prospectively with notice before the next renewal term. Failure to pay may result in suspension or termination after reasonable notice.
6. Electronic communications
By using the Services, you consent to receive transactional and service-related communications electronically, including account notices, security alerts, billing receipts, policy updates, and product notifications. You may opt out of non-essential marketing email through unsubscribe links where provided.
Legal and policy notices may be delivered by posting updated documents at /legal, email to the account owner address, or in-product notice. Continued use after the effective date of updated policies constitutes acceptance where permitted by law.
7. Intellectual property
Pamphlet retains all rights in the Services, software, documentation, trademarks, and other Pamphlet materials. These Terms do not grant ownership of Pamphlet intellectual property.
Customers retain ownership of Customer Content. Customers grant Pamphlet a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Services, comply with law, and enforce these Terms.
8. Confidentiality
Each party may receive confidential information from the other. The receiving party will use the disclosing party's confidential information only to perform under these Terms and will protect it with reasonable care. Confidentiality obligations do not apply to information that is public, independently developed, or lawfully obtained without restriction.
Enterprise customers may have additional confidentiality terms in an Order Form or Enterprise Addendum.
9. Warranties and disclaimers
Pamphlet provides the Services using commercially reasonable skill and care. Except as expressly stated in an Order Form or Enterprise Addendum, the Services are provided "as is" and "as available."
Pamphlet disclaims all other warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Pamphlet does not warrant uninterrupted or error-free operation, specific deliverability outcomes, or that AI-generated output will be accurate or suitable for any purpose.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, cover, or punitive damages, or for loss of profits, revenue, data, or goodwill, even if advised of the possibility.
Except for excluded matters below, each party's aggregate liability arising out of or related to these Terms will not exceed the fees paid or payable by Customer to Pamphlet in the twelve (12) months preceding the event giving rise to the claim. Enterprise customers may have different caps in an Order Form or Enterprise Addendum.
Excluded matters: liability limits do not apply to Customer payment obligations, either party's breach of confidentiality or misuse of intellectual property, either party's indemnification obligations, or liability that cannot be limited under applicable law.
11. Indemnification
Customer will defend, indemnify, and hold harmless Pamphlet and its affiliates, officers, and employees from third-party claims arising from Customer Content, Customer's use of the Services in violation of these Terms or applicable law, or Customer's outbound communications and data processing practices.
Pamphlet will defend Customer against third-party claims alleging that the Services, when used as documented, infringe a third party's U.S. intellectual property rights, subject to customary exclusions and remedies. This section states each party's exclusive remedy for covered infringement claims except as otherwise required by law.
12. Suspension and termination
Either party may terminate for material breach not cured within thirty (30) days after written notice, except where immediate suspension is required for security, legal compliance, or abuse.
Upon termination, Customer's access ends and Pamphlet will delete or return Customer Content according to the Privacy Policy, DPA, and any Order Form retention terms. Provisions that by nature should survive will survive, including fees owed, confidentiality, disclaimers, liability limits, indemnities, and dispute terms.
13. Governing law and disputes
Governing law, venue, and dispute resolution procedures for enterprise customers are set forth in the applicable Order Form or Enterprise Addendum.
For standard online Terms where no Order Form specifies otherwise, these Terms are governed by the laws of the United States, without regard to conflict of law principles. Exclusive jurisdiction for disputes arising under these Terms lies in the state and federal courts located where Pamphlet Inc. maintains its principal place of business, except where prohibited by applicable consumer protection law.
Before filing a claim, parties agree to contact cs@pamphlet.io and attempt good faith resolution for at least thirty (30) days.
Nothing in these Terms prevents either party from seeking injunctive relief for misuse of intellectual property or unauthorized access.
14. General
These Terms, together with incorporated policies and any applicable Order Form, constitute the entire agreement regarding the Services and supersede prior discussions on the same subject. If an Order Form conflicts with these Terms, the Order Form controls for that Customer to the extent of the conflict.
Pamphlet may assign these Terms in connection with a merger, acquisition, or sale of assets. Customer may not assign without Pamphlet's prior written consent.
Notices to Pamphlet: cs@pamphlet.io. Notices to Customer: the email associated with the account or organization owner.
Definitions
- Pamphlet
- Pamphlet Inc. and its standalone product platform available at pamphlet.io and related subdomains.
- Pamphlet Inc.
- Pamphlet Inc., the legal entity that owns and operates the Pamphlet platform.
- Customer
- An organization or individual that registers for, accesses, or uses the Services under a binding agreement with Pamphlet Inc., including through an Order Form, online acceptance, or authorized trial.
- Authorized User
- An individual permitted by a Customer to access a Pam Pod under assigned roles and permissions.
- Pam Pod
- An isolated workspace tenant containing CRM records, conversations, campaigns, inboxes, agent configuration, and related Customer Content.
- Customer Content
- Data, files, messages, records, configurations, and other content submitted to or generated within the Services at Customer direction, excluding Pamphlet account and billing data controlled by Pamphlet.
- Personal Data
- Information relating to an identified or identifiable natural person processed through the Services.
- Services
- The Pamphlet platform, including Pamphlet CRM, Pam AI, Pam Agent, Pam OS, Pods, Campaigns, Inboxes, APIs, MCP integrations, documentation, and support channels made available by Pamphlet Inc.
- Pam AI
- Pamphlet's AI-assisted recommendation, drafting, and analysis features that suggest actions for operator review.
- Pam Agent
- Pamphlet's policy-bound automated execution features that perform configured actions within approval gates and sending policy.
- Order Form
- A written or electronic order, checkout flow, enterprise agreement, or other document specifying plan, term, fees, or custom terms between Customer and Pamphlet Inc.
- Subprocessor
- A third party engaged by Pamphlet Inc. to process Personal Data on Pamphlet's behalf in connection with the Services.
- API Key
- A secret credential issued to a Customer for programmatic access to the Pamphlet API, scoped to a single Pam Pod.
- Affiliate
- A participant approved by Pamphlet Inc. to promote the Services under the Affiliate Terms.
