Enterprise Addendum

1. Applicability

This Enterprise Addendum applies to Customers who execute an Order Form or enterprise agreement with Pamphlet Inc. that references this Addendum. If this Addendum conflicts with standard Terms of Service, this Addendum controls for that Customer to the extent of the conflict.

2. Order of precedence

For enterprise Customers, documents control in the following order unless the Order Form states otherwise:

  • Executed Order Form or master agreement
  • Enterprise Addendum
  • Data Processing Addendum
  • Service Level Agreement (enterprise exhibit if any)
  • Terms of Service and incorporated policies

3. Custom terms

Enterprise Order Forms may specify custom fees, term length, renewal notice periods, payment terms, user or Pod limits, professional services, and custom support channels. Unsigned marketing materials do not modify executed agreements.

4. Data protection

Enterprise Customers execute the Data Processing Addendum. Order Forms may add custom data retention periods, subprocessors restrictions, data transfer exhibits, and security review requirements.

5. Security and audit

Enterprise Customers may receive enhanced security documentation, questionnaire responses, and audit cooperation per the Order Form. Onsite audits, if permitted, require reasonable advance notice, confidentiality agreements, and may be subject to frequency limits and fees.

6. Service levels and support

Enterprise availability targets, incident response times, and designated support contacts are defined in the Order Form or enterprise SLA exhibit. Service credits, if any, are calculated per that exhibit.

7. Liability and indemnities

Enterprise Order Forms may modify liability caps, super-cap categories, or indemnification scope. If no modification is stated, standard Terms limits apply.

8. Governing law and disputes

Governing law, venue, and dispute resolution for enterprise Customers are specified in the executed Order Form or master agreement. Standard online governing law placeholders do not apply where an Order Form specifies otherwise.
